依然霸气！三安光电拟2.26亿美元收购环宇通讯

三安光电今日发布公告称，公司全资子公司厦门市三安集成电路有限公司（以下简称“三安集成公司” ）拟以自有货币资金合计美金226,000,000元（折合人民币14.7亿元）的交易总价合并英属开曼群岛商环宇通讯半导体控股股份有限公司（以下简称“GCS”或“环宇公司”），取得GCS以完全稀释基础计算的全部股权，包括但不限于已发行普通股（含限制员工权利新股）、可转换公司债全数转换后发行股份及员工认股权凭证全数行使后发行股份，双方签署了《意向书》。

环宇公司于1997年成立于美国加州托伦巿，于台湾柜台买卖中心上柜挂牌(代号 4991)，主要从事砷化镓／磷化铟／氮化镓高阶射频及光电元件化合物半导体晶圆制造代工、相关智慧财产权授权与先进光电产品之研究、开发、制造及销售业务，提供从产品概念、技术研究与开发、产品试产到量产的全方位服务。

除了自有制程技术外，环宇公司也提供整厂输入服务，包含制程技术的转移、验证、产品试产到量产的服务。环宇公司所代工产品之终端用途范围甚广，其中涵盖通讯、电力、医疗、工业及航空。寰宇公司两大主要产品线区分在射频晶圆代工方面，产品之终端用途主要适用于移动通讯基站和相关射频基础设施所需的功率放大器、电压控制振荡器、射频开关及相关射频元件，在光电晶圆代工方面，产品终端用途用于电信网络、数据网络、光纤用户等相关光电元件。通过近二十年的技术积累，环宇公司拥有完整之先进制程，技术领先于同业。

Sanan Optoelectronics stated that this investment merger with GCS aligns with the company's development planning and layout. Upon completion of the merger, it will rapidly drive Sanan to leverage its technical expertise and patent platform spanning RF communications and optical communication components, advanced international management concepts, and extensive international customer networks to complement the company's existing business technology and production capacity. This provides strong support for the company to rapidly enhance its technical capabilities in integrated circuits, expand into new business areas, and explore domestic and overseas markets. It is conducive to accelerating the development process of the company's integrated circuit business, expanding business scope and scale, improving profitability, enhancing core competitiveness, and achieving returns for shareholders as soon as possible.

Both parties agree to sign the merger contract before March 31, 2016, at the total transaction price stipulated in the Letter of Intent and on terms further agreed upon through negotiation.

In recent years, Sanan Optoelectronics' revenue has been climbing year by year, showing a trend of dominance in the industry. From January to September 2015, Sanan Optoelectronics' revenue reached 3.6 billion RMB, significantly surpassing other chip manufacturers. The gap between Sanan and other chip manufacturers continues to widen, with the effects of economies of scale becoming increasingly evident.

In addition, Sanan Optoelectronics has recently actively strengthened its expansion through capital operations. A previous announcement stated that the company plans to issue approximately 235 million shares to 10 specific entities, including the Sanan Group, at a price of no less than 16.58 yuan per share, raising no more than 3.9 billion yuan. The funds will be sequentially invested in the Xiamen Optoelectronics Industrialization (Phase II) project and the Communications Microelectronic Devices (Phase I) project. This move signals Sanan Optoelectronics' formal entry into the microelectronics market. Additionally, Sanan Optoelectronics plans to raise 1.6 billion yuan, with a total investment of 3 billion yuan, for the Communications Microelectronic Devices project to produce gallium arsenide high-speed semiconductor devices and gallium nitride high-power semiconductor devices. Sanan Optoelectronics will invest in gallium arsenide/gallium nitride semiconductor manufacturing to fill the gap in China's manufacturing sector.

In addition, channel layout has also become a key focus for Sanan Optoelectronics. Sanan has expanded and improved its channels by investing in and establishing the subsidiary Xiamen Sanan Industrial Co., Ltd., forming a joint venture with Xiamen Xinda to establish Xiamen Sanan Xinda Financial Leasing Co., Ltd., and increasing the capital of its subsidiary Wuhu Anrui by 180 million, thereby increasing market share and improving the company's operating performance.

At the same time, in overseas markets, Sanan Optoelectronics is also actively facilitating cooperation with foreign companies. For example, the cooperation with Seoul Semiconductor has gradually laid out the LED chip overseas foundry business. In the field of application products, Sanan signed a large-scale procurement cooperation agreement with Anxin Energy, reportedly with the disclosed amount reaching 4.5 billion.
