A long-established LED company, mired in debt and operational difficulties, has welcomed a semiconductor heavyweight from the Tsinghua Unigroup ecosystem.

XinYi Jingyuan to Become the Controlling Shareholder

On the evening of October 21, ST Changfang (Changfang Group) announced that its first creditors’ meeting for out-of-court restructuring was held on October 20 and approved the restructuring investment plan. The winning bidder in this round is a consortium led by Zhejiang Guochen Optoelectronics Co., Ltd. (hereinafter referred to as “Guochen Optoelectronics”), with Hangzhou XinYi Jingyuan Management Partnership (Limited Partnership) (hereinafter referred to as “XinYi Jingyuan”) serving as the lead investor.

If this investment is successfully completed, XinYi Jingyuan will become the controlling shareholder of ST Changfang.

XinYi Jingyuan was established on September 30, 2026, with a registered capital of RMB 250 million. Guochen Optoelectronics serves as the general partner of this partnership and holds a 1% stake in XinYi Jingyuan. According to the announcement, XinYi Jingyuan will primarily leverage the full control of Guochen Technology, a wholly owned subsidiary of Guochen Optoelectronics, along with its actual controller, Zhu Changhua, to carry out subsequent investment activities.

Guochen Technology was founded in July 2015 and simultaneously listed on the Zhejiang Intelligent Robot Research Institute, establishing a dual‑engine development model of “Research Institute + Company.” Backed by the substantial capital, industrial resources, and extensive entrepreneurial experience of its actual controller, Mr. Zhu Changhua, the company continues to intensify efforts in core business deepening, industrial investment, and corporate incubation.

Who is Zhu Changhua?

Zhu Changhua is a seasoned entrepreneur in China’s semiconductor industry. His business portfolio is rooted in the integrated circuit sector, forming a three‑pronged strategy of “core chip operations + hard‑tech incubation + financial investment.”

Zhu Changhua was also a co‑founder of Shenzhen Guowei Electronics, the predecessor of Unisoc (002049), and later established Unisoc Tongchuang, a leading domestic FPGA player, while leveraging Shenzhen Guowei Technology as an industrial parent entity to continuously incubate cutting‑edge technology projects.

Resume

Zhu Changhua was born in 1962 and holds Chinese nationality. He graduated in 1989 from Southeast University with a degree in Electronic Physics and Devices, then joined Modern Electronics (Shenzhen) Co., Ltd. In 1994, he successively served as Vice President, President, and Director at Shenzhen Guowei Technology Co., Ltd. In 2008, he co‑founded Shenzhen Guowei Electronics Co., Ltd., holding positions such as President and Chairman. In 2012, Shenzhen Guowei Electronics merged with Tongfang Guoxin through a restructuring and subsequently became part of the Unisoc Group. In December 2013, he founded Shenzhen Unisoc Tongchuang Electronics Co., Ltd., where he currently serves as Chairman and President. Mr. Zhu Changhua is an expert on the inaugural National Major Project Expert Panel for “Nuclear High‑Base” initiatives and the fourth president of the Shenzhen Semiconductor Association.

The announcement indicates that in the LED field, as a veteran technology investor, Zhu Changhua controls comprehensive optoelectronic chip resources across the entire LED/MicroLED supply chain, possesses nationally recognized patent achievements, and can integrate optoelectronic sensing hardware and software. He has also established an optoelectronic industry fund to foster a compound semiconductor ecosystem. Meanwhile, in the robotics sector, through his controlling platform, Zhu Changhua oversees Guochen Robotics, which holds provincial research institute accreditation. This gives him the advantage of applying his semiconductor and optoelectronic chip expertise to enhance robotic perception and control hardware, creating vertical synergy between “chips + optoelectronic sensors + complete robots.”

Business Recovery Roadmap

Under the restructuring investment plan, to ensure the smooth progress of ST Changfang’s out-of-court restructuring, XinYi Jingyuan and other members of the consortium will participate in this investment through market‑oriented and law‑based approaches. By providing industrial resources, business collaboration, and financial support to ST Changfang, they aim to alleviate the company’s debt and operational risks while enhancing its ongoing viability and profitability.

In addition, to completely eliminate historical risk assets of the listed company, the consortium of industrial investors plans, during the implementation of this restructuring, to divest certain inefficient, idle, impaired, and risky assets of the listed company, employing specialized disposal methods such as establishing bankruptcy service trusts.

The announcement specifically notes that XinYi Jingyuan’s participation in ST Changfang’s restructuring—and its intention to gain control of the listed company—is not driven by short-term financial arbitrage.

ST Changfang’s current operations focus primarily on LED light sources, off-grid lighting, emergency lighting, and related electronic products, supported by solid foundations in optoelectronic manufacturing, packaging and testing, supply chain management, and large-scale delivery capabilities.

XinYi Jingyuan plans to restore ST Changfang’s LED and existing electronics businesses, incubate and develop optoelectronic sensors on the ST Changfang platform, gradually expand into dexterous hand robotics, and lay out medium- to long-term strategies involving MicroLED‑based optical interconnects/CPO and brain‑inspired technologies, aiming to restore ST Changfang’s sustainable operating capacity within the short term (1–2 years) and fundamentally improve its long-term viability and profitability, ultimately transforming ST Changfang into a forward‑looking, growth‑promising, high‑performing listed company.

ST Changfang stated that the restructuring application submitted by the applicant to the restructuring center falls under the category of out-of-court restructuring. At present, the company has not entered any judicial pre‑restructuring or formal restructuring proceedings, and there remains uncertainty regarding whether it will eventually reach an out-of-court settlement with the applicant and other stakeholders. This out-of-court restructuring does not necessarily mean that the company will enter judicial pre‑restructuring or formal restructuring procedures.

The entry of a semiconductor industry heavyweight, bringing together “chips + optoelectronics + robotics” resources, has injected new possibilities into the restructuring story of this traditional LED enterprise. Future developments are certainly worth watching.
