Wolfspeed Secures a $1.5 Billion Conditional Loan Commitment from the U.S. Department of Defense
Recently, Wolfspeed (NYSE: WOLF), a leading U.S. silicon carbide company, announced that it has received a conditional loan commitment letter from the U.S. Department of Defense’s (DoD) Office of Strategic Capital (OSC). The commitment provides up to $1.5 billion in long-term financing, earmarked for the R&D and domestic production of silicon carbide (SiC) materials and wide-bandgap power devices, with a primary focus on applications critical to U.S. national security.

According to the announcement, this funding will support the implementation of several key DoD projects. Wolfspeed plans to use the proceeds to upgrade its gallium nitride (GaN) epitaxy capabilities, serving next-generation communication infrastructure and electronic warfare systems, while also developing radiation-hardened SiC and next-generation GaN products. The company’s multi-year development roadmap includes: consolidating its leadership in domestic SiC materials and power devices; establishing, expanding, or repatriating domestic production lines for low- and high-voltage GaN power devices; advancing R&D on GaN-on-SiC RF epitaxial wafers; and building a domestic semiconductor radiation-hardening technology ecosystem.
Terms of the deal indicate that the conditional commitment is a senior secured term loan of up to $1.5 billion, with a maturity of 30 years. One of the prerequisites for closing the financing is that Wolfspeed issue to the DoD warrants based on the volume-weighted average price (VWAP), which could collectively represent up to 7.5% of the company’s fully diluted equity. These warrants will be issued proportionally as funds are disbursed in tranches.
Wolfspeed also cautions that the formal agreement signing and final completion of the financing remain contingent upon a series of preliminary steps, including due diligence, commercial negotiations, verification of closing conditions, government approvals, fund disbursement, and third-party permits—none of which can guarantee that the transaction will ultimately close or that funds will be released smoothly.
Robert Feurle, CEO of Wolfspeed, stated that SiC and GaN hold irreplaceable strategic value in the national security domain. If the financing proceeds as planned, the company will continue to meet the DoD’s needs, further expand its Production capacity, and ensure a stable supply chain for the U.S. national security Industry. Gregor van Issum, CFO of Wolfspeed, added that this 30-year loan commitment represents a significant milestone in optimizing the company’s capital structure and strengthening its financial fundamentals, potentially bringing in long-term capital to support strategic initiatives and enhance the company’s financial resilience.
Silicon carbide and gallium nitride, as core materials of the third-generation wide-bandgap semiconductors, are widely used in RF applications, military electronics, power conversion, and other fields. The anticipated conclusion of this large-scale, long-term DoD financing is expected to accelerate domestic capacity expansion for wide-bandgap semiconductor materials and devices, drive advancements in RF and radiation-hardened semiconductor technologies, and profoundly reshape the global competitive landscape of the SiC and GaN Industries.
