On the evening of October 23, Langte Intelligent (300916) announced that it plans to acquire a 51% stake in Chengdu Aojie Communication Technology Co., Ltd. (hereinafter referred to as “Chengdu Aojie”) for cash, with a preliminary estimated transaction price of RMB 663 million. Upon completion, Chengdu Aojie will become a controlled subsidiary of the company.

The announcement indicates that Chengdu Aojie was established on June 26, 2012, with a registered capital of RMB 24.606065 million. Its legal representative is Wang Lingli, and its registered address is located in the Southwest Aviation Port Economic Development Zone, Shuangliu District, Chengdu. The company’s business scope includes the development, production, and sale of fiber-optic communication equipment, components, and electronic products, as well as software development, sales, and engineering consulting services related to computer system integration.

The counterparties in this transaction comprise 20 entities, including Wang Lingli, Zhao Ping, and others—19 individuals and the Chengdu Anjiaxing Technology Consulting Partnership—all of whom are unrelated to the company. This transaction is not expected to constitute a major asset restructuring, and funding will come from the company’s own resources and self-raised funds.

The party making the performance commitments has pledged that Chengdu Aojie’s net profits for 2026–2028 will be no less than RMB 80 million, RMB 120 million, and RMB 160 million, respectively, totaling at least RMB 360 million.

Langte Intelligent stated that this equity acquisition represents a horizontal expansion of the company’s industrial layout. Since its IPO, the company has consistently focused on its core business of “intelligent controllers and smart products,” advancing capacity expansion, product line diversification, and customer base growth.

The target company concentrates on the R&D, manufacturing, and sales of passive optical components in the optical communications field. Following careful research and deliberation, the company’s management team believes that this sector holds significant growth potential, and that this equity acquisition will help the company strategically position itself in related areas, opening up new avenues for revenue growth, thereby supporting the company’s continued positive development.

It is worth noting that Langte Intelligent’s primary business involves the R&D, design, production, and sales of intelligent controllers and smart products, which are mainly used in smart homes and appliances, automotive electronics, emerging consumer electronics, and energy storage sectors.

In 2025, the company reported revenue of RMB 1.604 billion, up 0.75% year-on-year, while net profit attributable to shareholders stood at RMB 103 million, down 33.45% YoY. In the first half of this year, revenue reached RMB 744 million, a 7.74% decline compared to the same period last year, with net profit attributable to shareholders totaling RMB 5.8089 million, down 89.90% YoY.

, whereas energy storage was once Langte Intelligent’s fastest-growing business. The company’s energy storage segment essentially extends its off-grid lighting integrated solutions; these off-grid lighting products are primarily used for illumination in areas without access to the public power grid.

In 2025, the company’s energy storage business generated RMB 729.7995 million in revenue, up 103.19% year-on-year, largely driven by strong volume growth among key downstream strategic customers in targeted markets. As their core supplier, the company leveraged deep partnerships and coordinated production efforts to ensure timely order fulfillment and consistent quality, resulting in substantial increases in sales across all energy storage product lines. However, in the first half of this year, energy storage revenue fell to RMB 190.1564 million, a 50.40% year-on-year decline, mainly due to inventory reduction by customers.

Langte Intelligent’s solar-powered LED off-grid lighting systems are primarily sold in Africa, operating under a model of close collaboration with strategic key customers. Yet, once downstream clients enter an inventory-clearing phase, local energy subsidies taper off, the local currency depreciates, and purchasing power declines, orders can quickly shrink.

Against the backdrop of sluggish revenue growth, pursuing external expansion and cultivating new sources of profit has become a practical choice for the company.

Currently, surging demand for AI computing power is fueling robust growth in data center construction, while the optical communications supply chain continues to thrive. Passive optical components are essential foundational parts, with market demand supported over the long term. In the computing power space, attention often focuses on optical chips, CPOs, and high-speed optical modules, yet overlooked are those seemingly inconspicuous underlying components within the optical path. Although passive components evolve at a slower pace and carry lower unit prices than active ones, their sheer volume and wide-ranging applications make them indispensable.

Chengdu Aojie’s core product lineup includes fiber optic patch cords, adapters, attenuators, splitters, fiber arrays, and other optical connectivity solutions. Its downstream applications span multiple high-growth sectors, such as data centers, 5G communications, FTTH, and automotive LiDAR. The company’s products have already been exported to Europe, the United States, Japan, Southeast Asia, and other regions. With direct service to both data centers and automotive LiDAR—two rapidly expanding segments—Chengdu Aojie’s products could theoretically exhibit strong revenue elasticity if its production capacity and customer certifications progress smoothly.

The announcement notes that this transaction is still in the planning stage and requires auditing, valuation, and approval by the company’s board before implementation. Whether the deal ultimately closes remains uncertain.
