16.5 Million Yuan! Songsheng Shares Announces Major Acquisition

On December 22, Shenzhen Songsheng Electronics Co., Ltd. (hereinafter referred to as "Songsheng Shares") announced that it had signed an equity acquisition agreement with Guangdong Xinshen Technology Co., Ltd. (hereinafter referred to as "Xinshen Technology").

The latest announcement shows that the company intends to purchase a total of 55% equity in Xinshen Technology held by Jin Haifeng and Jin Haicheng for 16.5 million yuan, and the company's actual controllers, Wang Zongyou and Tian Nianbin, intend to purchase 2.5% equity in Xinshen Technology for 750,000 yuan each.

After the transaction is completed, the company will hold 55% equity in Xinshen Technology, and the company's actual controllers, Wang Zongyou and Tian Nianbin, will collectively hold 5% equity in Xinshen Technology. Xinshen Technology will become a holding subsidiary of the company and will be included in the scope of the company's consolidated financial statements.

Power supply and control synergy enhances system stability

Xinshen Technology's products are mainly applied in the LED lighting field, belonging to the same industry as the company's core business of LED driver / power supply, with overlapping downstream customers. Through this acquisition, Songsheng shares will synergistically integrate its advantages in LED drivers and high-reliability power systems with Xinshen Technology's capabilities in intelligent control, system architecture, and communication technology.

Songsheng stated in the announcement that this acquisition helps integrate the advantageous resources of both companies. Through technological and product complementarity, it aims to achieve product innovation for next-generation intelligent control power supplies, strengthen the company's technical barriers in the field of LED lighting driver, enhance software control capabilities, and transform the company into a solution provider integrating power supply, intelligent control, and communication, thereby promoting technological transformation in the LED lighting industry.

Both parties will collaborate around power supply and control product matching, software platform system adaptation, and application scenarios to enhance the stability and reliability of the overall system in complex operating environments.

It is understood that following the Acquisition, both parties will continue to advance product synergy and technology integration around core application scenarios such as smart cities, road and tunnel lighting, and industrial lighting, providing customers with comprehensive support capabilities covering power supply, control, and system security, thereby helping lighting projects achieve long-term stable operation.

据悉，业绩承诺方面，金海峰、金海诚承诺，芯神科技2026年、2027年、2028年三年累计净利润（净利润指经审计的扣除非经常性损益后归属于母公司股东的净利润）不低于600万元。
