Recently, the lighting industry received major news:NationStar Optoelectronics transferred its 49% equity stake in Foshan Haolaite Optoelectronics Co., Ltd. to Foshan Electrical and Lighting Co., Ltd. (hereinafter referred to as "Foshan Lighting") for a price of 24.9166 million yuan. This "takeover" move has caused a stir in the industry. Details of the Equity Transaction


NationStar Optoelectronics stated in its announcement released on May 17 that this equity transfer is intended to optimize the company's resource allocation and improve overall operational efficiency. NationStar Optoelectronics has received all equity transfer payments from Foshan Lighting. The transfer has been fully completed, and NationStar Optoelectronics no longer holds any equity in Haolaite Company.

According to records, Haolaite was established in 2020 as a joint venture between Foshan Lighting and NationStar Optoelectronics. Prior to this transfer, Foshan Lighting held a 51% equity stake in Haolaite; upon completion of the transfer, Foshan Lighting will achieve 100% ownership of Haolaite.

Capital Connections Behind the Scenes


It is worth noting that Foshan Lighting holds a total of 21.48% of the shares in NationStar Optoelectronics, directly or indirectly, making it the controlling shareholder. According to relevant regulations, this transaction constitutes a related-party transaction. From an industry perspective, NationStar Optoelectronics achieved revenue of approximately RMB 3.473 billion and net profit attributable to shareholders of the listed company of approximately RMB 51.5301 million in 2024. Foshan Lighting’s full ownership of Haolaite is expected to further integrate the advantageous resources of both parties, unlocking greater efficiency in smart lighting, commercial lighting, outdoor lighting, and other fields.
