MLS Co., Ltd. plans to increase capital by RMB 395 million in two subsidiaries

On July 8, MLS Co., Ltd. issued the "Announcement on Capital Increase in Subsidiaries", stating that to promote the continuous, rapid and steady development of its wholly-owned subsidiary Zhongshan MLS General Lighting Co., Ltd. (hereinafter referred to as "MLS General"), it agrees to inject RMB 95 million of self-raised funds into MLS General, with the capital increase price being RMB 1 for every RMB 1 of registered capital. After the capital increase, the registered capital of MLS General will increase from RMB 5 million to RMB 100 million.

At the same time, it plans to inject RMB 300 million of self-raised funds into its subsidiary Ji'an MLS Optoelectronics Co., Ltd. (hereinafter referred to as "MLS Optoelectronics"), with the capital increase price being RMB 1 for every RMB 1 of registered capital. After the capital increase, the registered capital of MLS Optoelectronics will increase from RMB 300 million to RMB 600 million.

MLS stated that the capital increase in MLS General and MLS Optoelectronics is based on the business development needs of its subsidiaries, which is conducive to the company's business development and aligns with the interests of the company and all shareholders. This capital increase pertains to subsidiaries, with controllable risks. Meanwhile, the company will further strengthen supervision and management of its subsidiaries through increasingly improved internal control systems to actively prevent and address related risks.

本次增资完成后,公司仍持有下属子公司100%股权,不会导致公司合并报表范围的变动,不会对公司未来财务状况及经营成果产生不利影响,亦不存在损害公司及全体股东利益的情形。本次增资后,木林森通用、木林森光电的发展将依然受到市场前景及行业政策变化等客观因素的影响。
