Tongbao Optoelectronics initiates IPO counseling


Changzhou Tongbao Optoelectronics Co., Ltd. (hereinafter referred to as "Tongbao Optoelectronics") has recently initiated A-share IPO counseling.


According to the announcement released by Tongbao Optoelectronics, the status of the company's public stock offering and IPO tutoring on the Beijing Stock Exchange is as follows:

Signed a written tutoring agreement with Industrial Securities Co., Ltd.: On December 28, 2022, the Company signed the "Tutoring Agreement regarding Changzhou Tongbao Optoelectronics Co., Ltd.'s public offering of shares to unspecified qualified investors and listing on the Beijing Stock Exchange" with Industrial Securities Co., Ltd. (hereinafter referred to as "Industrial Securities"). The tutoring institution is Industrial Securities.


Submission of tutoring filing materials: On December 29, 2022, the Company submitted to the Jiangsu Regulatory Bureau of the China Securities Regulatory Commission (hereinafter referred to as the "Jiangsu CSRC Bureau") the tutoring filing materials for Changzhou Tongbao Optoelectronics Co., Ltd.'s public offering of shares to unspecified qualified investors and listing on the Beijing Stock Exchange (hereinafter referred to as the "BSE"). The tutoring institution is Industrial Securities.


Completion of tutoring filing: On December 30, 2022, the Jiangsu Regulatory Bureau of the China Securities Regulatory Commission accepted the company's tutoring filing materials for the public offering of stocks and IPO on the Beijing Stock Exchange. The company entered the tutoring phase, with the tutoring filing date being December 30, 2022, and the tutoring institution being Industrial Securities Co., Ltd.


According to the information, Tongbao Optoelectronics was established in 1991. It is a company specializing in the design, R&D, production, and sales of automotive LED modules and LED vehicle lights. Its automotive LED module products cover a full series including combination lamp modules, turn signal modules, daytime running light modules, position lamp modules, brake light modules, door lamp modules, and interior ceiling light modules. Its LED vehicle light products include daytime running lights, turn signals, brake lights, and more. It has become a well-known enterprise in the field of automotive LED modules and LED vehicle lights with core brand value, possessing a complete R&D team and production system. It is reported that its leading product—automotive LED modules—has long ranked among the top three in the domestic market for similar products.


Tongbao Optoelectronics stated that the company focuses on the vehicle lighting assembly market, providing automotive LED modules for SAIC-GM-Wuling, SAIC Volkswagen, FAW-Volkswagen, Lifan Auto, Lifan Passenger Cars, Geely, Chery Automobile, Dongfeng Sokon, Great Wall Motors, and others, either through direct cooperation with OEMs or via lighting manufacturers such as Xingyu Shares, Nanning Liaowang, Damao Visteon, Huayu Vision (formerly Koito Automotive Lamps), and Valeo Iluminacao.


Tongbao Optoelectronics is an Innovation Tier company that has been continuously listed on the National Equities Exchange and Quotations (NEEQ) for 12 months.


In terms of performance, the company's Revenue for 2020 and 2021 was RMB 210 million and RMB 245 million, respectively. The Net profit attributable to shareholders of the listed company (calculated based on the lower of the figures before and after deducting non-recurring gains and losses) was RMB 3.2792 million and RMB 3.1793 million, respectively. In the first half of 2022, the company achieved Revenue of RMB 158 million, a year-on-year increase of 59.68%, with a gross profit margin of 13.91% and Net profit of RMB 9.4735 million, a year-on-year increase of 62.21%.



Galaxy Shares Resumes IPO


Recently, GF Securities released the "Report on Filing for Pre-IPO Tutoring of Foshan Galaxy Lanjing Technology Co., Ltd. (hereinafter referred to as: Galaxy Shares) for its Initial Public Offering and Go public", indicating that Galaxy Shares has accepted pre-IPO tutoring.


It is reported that this is Galaxy Shares' second attempt at an IPO. On August 5, 2022, Foshan Galaxy Lanjing Technology Co., Ltd. applied to withdraw its issuance and listing application documents. The Shenzhen Stock Exchange decided to terminate the review of its initial public offering and listing on the ChiNext Board, and the IPO was terminated on August 10, 2022. On December 13, 2022, the company changed its securities firm and signed a tutoring agreement with GF Securities, making another push for an IPO.

According to the information, Galaxy Shares' main business is the research and development, production, and sales of lighting luminaires, multimedia projection lights, interactive installations, and intelligent control systems in the fields of municipal lighting, cultural tourism lighting, commercial lighting, ancient architecture lighting, and indoor lighting. Main products include linear lights, floodlights, inground lights, tree uplights, indoor luminaires, multimedia projection lights, interactive installations, and intelligent control equipment and systems.


In terms of performance, from 2019 to 2021, Galaxy Co., Ltd. achieved revenue of RMB 314.9862 million, RMB 277.7874 million, and RMB 490.0912 million, respectively; the corresponding net profits were RMB 54.9664 million, RMB 42.6150 million, and RMB 75.3802 million, respectively.


In terms of main business revenue, from 2019 to 2021, the combined revenue of the municipal lighting segment and the cultural tourism lighting segment was RMB 231,018,200, RMB 168,201,600, and RMB 386,324,700 respectively, accounting for 74.03%, 60.82%, and 79.02% of the main business revenue in each period respectively, making them the primary source of Galaxy Shares' business revenue.


The company's sales and service regions include both the domestic and overseas markets, with a primary focus on the domestic market. During the reporting period, sales in the domestic market accounted for more than 94% of the company's main Revenue.


According to the previous prospectus, Galaxy Shares originally planned to raise RMB 661.223 million, to be used for the Galaxy Shares Shunde Production Base Construction Project, Phase I of Hanrun Technology Gaoming Production Base Construction Project, the Smart Lighting System Engineering Technology R&D Center, and supplementing working capital, in order to expand business scale and enhance R&D capabilities.
